Registration & Management Considerations Pro Con A representative office is relatively easy to re-register at the Department of Business Development (DBD) as fewer documents are required when compared to the registration of a company limited or a branch office. It will however need to lodge copies of the parent company’s certificate of incorporation, memorandum and articles of association (or other equivalent documents) and a power of attorney for the representative office manager. This article shall briefly set out the various pro and con points relating to setting up a new company limited in Thailand from various perspectives including Foreign Business Act, management and visa/ work permit considerations. Registration & Management Considerations Pro Con A new company limited is a separate legal entity from a parent company or other companies in a corporate group, hence it can better limit liability when compared to a branch office or representative office.   Shareholder liability is limited to the unpaid portion of their respective shares (if any). Closing a company limited is usually more time consuming and complicated when compared to closing a branch or representative office given that a company requires dissolution and liquidation. DLO & Mezal Marhoon Alaali & Associates Signed a Memorandum of Understanding

On August 19, 2022, Dharmniti Law Office Co., Ltd. (DLO) signed a memorandum of understanding (MOU) with Mezal Marhoon Alaali & Associates, a law firm in Bahrain, which was represented by Mr. Ali Alaali (Managing Partner). The representatives of DLO were Mr. Wisoot Karnchanapunyapong (Senior Partner), Mr. Ryan Crowley (Director) and Mr. Rattawich  Khantimuninan (Director). The purpose of this MOU is to facilitate cooperation between the two law firms in relation to the provision of legal services in their respective countries. On July 6, 2022, Dharmniti Law Office Co., Ltd. (DLO) signed a memorandum of understanding (MOU) with Dr. Yousef Abdullah Alhumoudi Lawyers and Consultants Office at the Thai-Saudi Business Forum held at the Suralai Hall, 7th Floor, ICONSIAM Shopping Center, Charoen Nakhon Road, Khlong San, Bangkok Metropolis. Many companies in Thailand think that Thailand’s Board of Investment (BOI) promotions are focused on promoting manufacturing but few are aware that the BOI also offers promotion privileges for services companies such as those involved with engineering services, technical services as well as wholesaling; such promotion falls under Activity 7.7 otherwise known as Trade and Investment Support Office or ‘TISO’. On May 26, 2022 AMCHAM held its Governors’ Table at the Hyatt Regency Sukhumvit Hotel. The event was hosted by AMCHAM’s Governors with attendees from various companies including Ducati Motor (Thailand) Co., Ltd, Pfizer (Thailand) Ltd, Hilton Sukhumvit Bangkok and Chromalloy (Thailand) Ltd. Ryan Crowley, DLO’s foreign services manager and executive director attended the event on behalf of the firm.
